Research and Service Agreements
Types of Agreements

- Industry Sponsored Research Agreements (ISRAs): Contracts for research conducted at UC Davis and funded by a company, covering scope, budget, and IP rights.
- Confidentiality Agreements (CDAs/NDAs): Necessary precursors to research discussions to protect proprietary information from both parties.
- Material/Data Transfer Agreements (MTAs/DTAs): Cover the transfer of proprietary tangible research materials or data between entities while preserving ownership rights.
- Investigator Initiated Clinical Trial Agreements: Facilitate the testing of industry-owned drugs or devices using the university’s human subject patient base.
- Service Agreements: Used when the university provides specific technical services to outside entities on a “no-profit/no-loss” basis.
Research Agreements
For collaborative projects where the university and a sponsor work together on new knowledge discovery or technological innovation. To support the university’s mission of teaching and public service through scientific inquiry. Research Agreements handled by the Sponsored Programs Office (SPO) or the Research and Industry Sponsored Agreements (RAISA) unit.
Service Agreements
For transactions where the university provides technical services or expertise to an external entity. This is for providing non-research services based on established campus infrastructure or approved rates. Service Agreement are handled by Business & Revenue Contracts within Supply Chain Management, if based on an approved campus rate.

- Industry Sponsored Research Agreements (ISRAs): These must be submitted via the Cayuse SP system.
- Confidentiality Agreements (CDAs/NDAs): A PI or delegate should request these through the Inventor Portal before proprietary information is exchanged.
- Material (MTA) & Data (DTA) Transfers: These are initiated through the Inventor Portal. Faculty must provide details on the collaborator and legal contacts to start the negotiation process.
- Research & Clinical Trial Proposals: These must be routed internally via the Cayuse SP system.
- Researchers must complete an Internal Processing Form (IPF) to trigger institutional review and required certifications from Principal Investigators (PIs) and department heads.
- Service Agreements: These often start with an informal discussion between the PI and the industry representative to define the scope and budget before contacting Purchasing & Business Contracts, RAISA or Sponsored Programs Office.
